Data Shepherd is an AI-powered data transformation platform that enables users to transform data files (including CSV, JSON, XML, and other formats) using natural language instructions. The Service includes:

• AI-generated transformation code based on user-provided instructions
• Secure file upload and processing capabilities
• Storage of transformation configurations for reuse
• API access for programmatic integration
• Dashboard for managing transformations and viewing job history

3. User Accounts

Generated Code: Transformation code generated by our AI is provided for your use in transforming your data. You receive a non-exclusive license to use such code for your internal business purposes. We retain no claim to your transformed output data.

8. Service Availability and Support

We strive to provide reliable service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with reasonable advance notice when possible)
• Emergency repairs or security updates
• Factors outside our reasonable control

Support is available via email for all users. Response times and support levels may vary based on your subscription plan.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be error-free, that defects will be corrected, or that the AI-generated transformations will be accurate for all use cases. You are responsible for validating transformation outputs before relying on them for critical purposes.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATA SHEPHERD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or alteration of your data
• Errors or inaccuracies in AI-generated transformations
• Any other matter relating to the Service

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Data Shepherd and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and associated data
• Any provisions of these Terms that should survive termination will remain in effect

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Delaware.
